1. Under a comprehensive business license agreement, one party (the integrated licensor) undertakes to grant the other party (the integrated licensee), for a fee, a set of exclusive rights (licensing package), including, in particular, the right to use the licensor's brand name and protected commercial information, as well as other objects of exclusive rights (trademark, service mark, patent, etc.), provided for in the agreement, for use in the licensee's business activities.

2. A comprehensive business license agreement provides for the use of the licensor's licensing complex, business reputation and commercial experience to a certain extent (in particular, with the establishment of a minimum and (or) maximum amount of use) with or without specifying the territory of use in relation to a specific field of activity.

3. A comprehensive business license agreement may also provide for:

1) transfer of information constituting an official or commercial secret, regular provision of managerial, technical and informational assistance to the integrated licensee during the entire term of the contract;

2) control measures on the part of the integrated licensor over the fulfillment by the integrated licensee of the requirements related to the use of the complex of exclusive rights transferred to the use of the integrated licensee.

4. Restrictions on the application of a comprehensive business license agreement in certain areas of business activity are established by legislative acts of the Republic of Kazakhstan.

This Law regulates relations related to the implementation of a comprehensive business license (franchising), defines the content of a comprehensive business license agreement and is aimed at the development and state support of franchising activities in the Republic of Kazakhstan.
