About the Tulpar Munai LTD Joint Venture

Decree of the President of the Republic of Kazakhstan dated April 17, 1995 N 2206

In order to ensure the activities and guarantee the rights of participants in the Tulpar Munai LTD joint venture: the State-owned holding Companies Poisk, Tulpar, Aktyubinskneft Joint Stock Company and Mobile Oil Tulpar Inc., whose goals meet the interests of the Republic of Kazakhstan, I hereby decree:      

1. To agree with the proposals of the Cabinet of Ministers of the Republic of Kazakhstan on the establishment and operation of the joint venture Tulpar Munai Ltd., Tulpar, Aktyubinskneft Joint Stock Company and Mobile Oil Tulpar Inc. and under the terms of the Contract for the Exploration and Production of Hydrocarbons between the Government of the Republic of Kazakhstan and the joint venture Tulpar Munai Ltd. for Tulpar blocks in West Kazakhstan and Aktobe regions.      

2. To establish and maintain the regime of economic, tax and legal stability for the Tulpar project defined by the Contract for the agreed duration of the Contract for the joint venture Tulpar Munai LTD.      

3. To establish and maintain for the foreign participant of the Mobile Oil Tulpar Inc. joint venture a regime of economic, tax and legal stability for the activities of the joint venture for such a period during which the joint venture exists as a legal entity of the Republic of Kazakhstan, in the form in which it was established, or in the form of a legal successor.      

4. Release the Tulpar Munai LTD joint venture from the moment of signing the Contract from the mandatory sale and/or conversion of foreign currency earnings in accordance with the terms of the Contract.      

5. Oblige the Tulpar Munai LTD joint venture to pay any taxes and payments stipulated in the Contract in US dollars.
