On approval of the Rules for Managing a single digital platform in the field of collective rights management and providing a single access point for its use

Order of the Minister of Justice of the Republic of Kazakhstan dated January 29, 2026 No. 100. It was registered with the Ministry of Justice of the Republic of Kazakhstan on January 29, 2026, No. 37918.

  In accordance with Article 45-1 of the Law of the Republic of Kazakhstan "On Copyright and Related Rights", I ORDER:

     1. To approve the attached Rules for Managing a single digital platform in the field of collective rights management and providing a single access point for its use.

     2. The Committee on Intellectual Property Rights of the Ministry of Justice of the Republic of Kazakhstan shall ensure:

     1) the state registration of this order in the Ministry of Justice of the Republic of Kazakhstan;

     2) posting of this order on the official Internet resource of the Ministry of Justice of the Republic of Kazakhstan after its first official publication.

     3. Control over the execution of this order is entrusted to the supervising Vice Minister of Justice of the Republic of Kazakhstan.

     4. This order shall enter into force upon the expiration of ten calendar days after the date of its first official publication.

Rules for managing a single digital platform in the field of collective rights management and providing a single access point for its use

Chapter 1. General provisions

     1. The Rules for managing a single digital platform in the field of collective rights management and providing a single point of access to its use (hereinafter referred to as the Rules) have been developed in accordance with Article 45-1 of the Law of the Republic of Kazakhstan "On Copyright and Related Rights" (hereinafter referred to as the Law) and define the procedure for managing a single digital platform in the field of collective rights management and providing a single point of access access to its use.

     2. The following definitions are used in these Rules:

     1) the unified digital platform in the field of collective rights management (hereinafter referred to as the unified digital platform) is a digital system of an expert organization that provides a single access point to its use in the field of collective rights management in accordance with the Law;

     2) registers in the field of property rights management on a collective basis – registers of a single digital platform necessary to ensure its functioning, provided for in Article 45-1 of the Law;

     3) authorized body – a state body determined by the Government of the Republic of Kazakhstan and carrying out state regulation in the field of copyright and related rights;

     4) the subject of the unified digital platform is the copyright holder, the organization for collective management of rights (hereinafter referred to as OKUP), the user, the expert organization;

     5) expert organization – an organization established by decision of the Government of the Republic of Kazakhstan in the organizational and legal form of a republican state enterprise on the right of economic management, subordinate in its activities to the authorized body in accordance with the Law;

     6) the personal account of the subject of the unified digital platform (hereinafter referred to as the personal account) is the electronic account of the subject of the unified digital platform, designed to interact with the unified digital platform and other entities, as well as perform other actions provided for by Law and Regulations.;

     7) an electronic digital signature (hereinafter referred to as EDS) is a set of electronic digital symbols created by means of an electronic digital signature and confirming the authenticity of a digital document, its affiliation and the immutability of its content;

     8) personal data – information related to a specific or identifiable personal data subject, recorded on electronic, paper and (or) other tangible media.

Chapter 2. The procedure for managing a single digital platform in the field of collective rights management

Paragraph 1. The procedure for interaction of subjects of the unified digital platform

     3. Within the framework of collective management of rights, the copyright holder enters into an agreement with the OKUP through a single digital platform on the transfer of the exercise of his property rights, which contains information to be filled out in accordance with Appendix 1 to these Rules.

     4. The copyright holder can transfer such powers to only one CCU.

     5. Under contracts concluded and in force prior to the enactment of the Law, OKUP ensures the placement of scanned copies of such contracts on a single digital platform.

     6. On the basis of an application from the copyright holder submitted through a single digital platform, which contains information to be filled out in accordance with Appendix 2 to these Rules, the CCU excludes its objects of copyright and (or) related rights from the permissions granted by this CCU to users.

     7. Through a single digital platform, the CBM concludes an agreement on mutual representation of interests with other Kazakhstani CBMs, which contains information to be filled out in accordance with Appendix 3 to these Rules.

     8. The CCU concludes agreements on mutual representation of interests with foreign CCUS on paper with subsequent placement on a single digital platform within five working days from the date of conclusion of such an agreement.

     9. Through a single digital platform, the OKUP concludes a license agreement with the user for the appropriate methods of using objects of copyright and (or) related rights, which contains information to be filled out in accordance with Appendix 4 to these Rules.

     10. Through a single digital platform, the OKUP concludes a remuneration payment agreement with the user for the appropriate ways of using a phonogram published for commercial purposes, without the consent of the phonogram producer and performer, which contains information to be filled out in accordance with Appendix 5 to these Rules.

     11. Through a single digital platform, the OKUP concludes an agreement with an expert organization on the use of a single digital platform, which contains information to be filled out in accordance with Appendix 6 to these Rules.

     12. The interaction of the subjects of the unified digital platform in the field of collective rights management is carried out through a personal account.

     13. The personal account contains information about the copyright holder, the OKUP or the user, including identification, registration, contact details and bank details, information about objects of copyright and (or) related rights, shares of property rights, contracts, accreditation, field of activity, management bodies and other information necessary for the functioning of a single digital platform.

Paragraph 2. Registers of the unified digital platform

     14. To ensure the functioning of the unified digital platform, the expert organization forms and maintains registers in the field of property rights management on a collective basis (hereinafter referred to as registers).:

     1) the register of works;

     2) register of authors and copyright holders;

     3) the payback register;

     4) User registry;

     5) the register of contracts.

Section 1. The Register of works

     15. The register of works is a list of objects of copyright and (or) related rights, in respect of which property rights are managed on a collective basis.

     16. The registration of information in the register of works is carried out by the copyright holder and (or) the PAY, to which such property rights have been transferred.

     17. The Register of works contains the following information:

     1) the name of the object of copyright and (or) related rights;

     2) a copy of the copyright and/or related rights object (audio recording in WAV format);

     3) identification codes of the work, including international identifiers (ISRC, ISWC and others), if available;

     4) last name, first name, patronymic (if any) and pseudonym (if any) of the author or other copyright holder, indicating the category of ownership;

     5) information about the legal relationship of the copyright holder with the OKUP.

Section 2. Register of authors and copyright holders

     18. The Register of Authors and Copyright Holders is a list of individuals and legal entities that have posted information on their copyrights and/or related rights on a single digital platform, as well as property rights that have been transferred to collective management.

     19. The Register of authors and copyright holders contains the following information:

     1) last name, first name, patronymic (if any) and pseudonym (if any) of the author or other copyright holder, indicating the category of ownership;

     2) the number and list of works;

     3) information about the legal relationship of the copyright holder with the OKP;

     4) the region.

Section 3. The Payback Register

     20. The OKUP Register is a list of organizations operating in the field of collective management of rights in accordance with the Law.

     21. The OKUP Registry contains the following information:

     1) name of the payback;

     2) BIN PAYBACK;

     3) legal address;

     4) Contact information (phone, email address);

     5) the number and list of members of the OKUP.

Section 4. User Registry

     22. The Register of Users is a list of individuals and legal entities who use works based on a license agreement and on other grounds provided for by Law.

     23. The user registry contains the following information:

     1) User's name;

     2) User's IIN or BIN;

     3) type of activity;

     4) registration address or legal address;

     5) information about the object of accounting (the place of use of objects of copyright and (or) related rights);

     6) information about the legal relationship of the user with the OKP;

     7) Contact information (phone, email address).

Section 5. Register of contracts

     24. The register of contracts contains information about:

1) agreements on collective management of rights;

     2) agreements on mutual representation of interests;

     3) license agreements;

     4) remuneration agreements.

     25. The Register of collective rights management agreements contains the following information:

     1) Identification number;

     2) contract number;

     3) the name of the copyright holder, indicating the category of ownership;

     4) name of the payback;

     5) type of right (copyright and/or related rights);

     6) the term of the contract;

     7) the form of conclusion of the contract.

     26. The register of agreements on mutual representation of interests contains the following information:

     1) Identification number;

     2) contract number;

     3) agreement on mutual representation of interests;

     4) the name of one payback;

     5) the name of the second payback;

     6) the term of the contract;

     7) the form of conclusion of the contract.

     27. The Register of license agreements contains the following information:

     1) Identification number;

     2) contract number;

     3) name of the payback;

     4) User's name;

     5) type of right (copyright and/or related rights);

     6) the object of accounting (the place of use of objects of copyright and (or) related rights);

     7) the term of the agreement;

     8) the form of conclusion of the contract.

     28. The register of remuneration agreements contains the following information:

     1) Identification number;

     2) contract number;

     3) name of the payback;

     4) User's name;

     5) the object of accounting (the place of use of objects of copyright and (or) related rights);

     6) the date of signing the agreement;

     7) the form of conclusion of the contract.

     29. The information contained in the registers is updated automatically based on information provided by the subjects of the unified digital platform or an expert organization.

     30. The reliability and completeness of the information provided on the unified digital platform is ensured by the entity of the unified digital platform that posted such information, within the limits of its competence defined by Law and Regulations.

Paragraph 3. Collection of remuneration

     31. Remuneration in the areas of collective management provided for in Article 43 of the Law, with the exception of subparagraph 4) of paragraph 3 of Article 43 of the Law, is paid on the basis of a license agreement.

     32. The remuneration provided for in article 39 of the Law is collected by the PAYBACK on the basis of a remuneration payment agreement.

     33. Remuneration for the reproduction of a work for personal purposes without the author's consent is collected by an expert organization in accordance with article 26 of the Law.

     34. OKUP collects remuneration in accordance with the rates set by it, but not below the minimum remuneration rates established by Articles 16-1 and 40-2 of the Law.

     35. In accordance with subparagraph 2-1) of paragraph 1 of Article 46 of the Law, the OKUP publishes monthly information on the collected royalties and remuneration to performers and producers of phonograms on a single digital platform in accordance with Appendices 7 and 8 to these Rules.

Paragraph 4. Distribution of remuneration

Section 1. General provisions on remuneration distribution

     36. Remuneration is calculated through a single digital platform based on:

     1) information about the amounts of remuneration collected;

     2) user reports on the use of objects of copyright and (or) related rights;

     3) information contained in the registers of the unified digital platform;

     4) information about the shares of property rights of copyright holders;

     5) information about the amounts to cover the actual expenses of the payback;

     6) information on the amounts of undistributed remuneration included in the distributed amounts in accordance with paragraph 5 of Article 44 of the Law.

     37. The User provides a report on the use of copyright and/or related rights through one of the following methods:

     1) self-registration of information on a single digital platform on a monthly basis no later than the tenth day of the month following the reporting month, which contains information to be filled out in accordance with Appendix 9 to these Rules;

     2) generate a report on a single digital platform on a monthly basis.

     38. If the user has more than one accounting object, a report on the use of copyright and/or related rights is provided separately for each accounting object.

     39. The report on the use of copyright and/or related rights, depending on the method of use, contains the following information:

     1) User's name

     2) User's IIN or BIN;

     3) type of activity;

     4) the registration address or the legal address of the user;

     5) name and actual address of the accounting facility;

     6) information about the license agreement(s);

     7) the name of the object of copyright and (or) related rights;

     8) surname, first name, patronymic and pseudonym (if any) of the copyright holders in terms of categories (author of words, author of music, performer, producer of phonograms);

     9) identification codes of the work, including international identifiers (ISRC, ISWC and others), if available;

     10) the date and time of the beginning and completion of the reproduction of each work;

     11) the duration of one playback;

     12) the number of plays during the reporting period;

     13) the amount of royalties and (or) remuneration to performers and producers of phonograms;

     14) other information contained on a single digital platform.

     40. Remuneration is calculated sequentially in accordance with the specified stages and assumes:

     1) determining the proportion of uses (rotations) of a particular work;

     2) determining the amount of fees;

     3) determination of the amount of remuneration for the work;

     4) calculation of the amount of remuneration of the copyright holder.

     41. Remuneration for copyrights is calculated between the authors of works in proportion to the number of uses (rotations) of each work by the corresponding user.

     42. For the purposes of calculating remuneration, the share of use of a particular author's work is determined as the ratio of the number of uses (rotations) of the corresponding work to the total number of rotations of all works used by this user during the reporting period.

     43. The amount of royalties is formed from the total amount of remuneration received from the user, minus the set amount to cover the actual costs of the payback.

     44. The amount of royalties payable for each work is determined by multiplying the amount of royalties collected by the share of use of the corresponding work.

     45. If it is impossible to identify the object of copyright and (or) related rights based on the user's report and (or) the report generated by a single digital platform, including cases of absence or inaccuracy of the object's name, identification codes and other data necessary to correlate the use with the object of copyright and (or) related rights.

     46. In the absence or insufficiency of information on a single digital platform necessary for calculating remuneration between specific copyright holders (including information on the shares of property rights in objects of copyright and (or) related rights), the calculation is carried out after entering the relevant information.

     In this case, the calculation is made for the product as a whole until the moment of making (clarifying) information about the shares.

     47. If there is insufficient information about the shares of property rights of all copyright holders in relation to the work, but there is information about the share of one or more copyright holders, remuneration is calculated in part of the specified shares, and the remaining part of the remuneration is recognized as undistributed in accordance with the Law.

     48. If one person combines several copyright holder statuses (text author, music author, and others) in relation to a single work, remuneration is calculated cumulatively for all relevant statuses.

     49. The remuneration of the author is calculated according to the following formula:

     

      где:

     

– сумма вознаграждения конкретному автору;

     

– использование (ротации) конкретного произведения у пользователя;

     

– общее количество использований (ротаций) всех произведений у пользователя;

     

– поступившая от пользователя сумма по авторским правам за период;

     

– сумма по авторским правам, ранее учтенная как нераспределенная, но подлежащая распределению в текущем периоде;

     

– сумма на покрытие фактических расходов ОКУП (удержания);

     

– доля имущественных прав автора в произведении (единица, процент).

      50. В случае если отсутствуют сведения о долях правообладателей, применяется следующая формула:

     

      где:

     

– сумма вознаграждения на произведение;

     

– использование (ротации) конкретного произведения у пользователя;

     

– общее количество использований (ротаций) всех произведений у пользователя;

     

– поступившая от пользователя сумма по авторским правам за период;

     

– сумма по смежным правам, ранее учтенная как нераспределенная, но подлежащая распределению в текущем периоде;

     

– сумма на покрытие фактических расходов ОКУП.

      51. Вознаграждение по смежным правам рассчитывается между правообладателями (исполнителями и производителями фонограмм) пропорционально количеству использований (ротаций) каждого произведения у соответствующего пользователя.

      52. Для целей расчета вознаграждения определяется доля использования конкретного произведения как отношение количества использований (ротаций) соответствующего произведения к общему количеству использований (ротаций) всех произведений, использованных данным пользователем за отчетный период.

      53. Сумма вознаграждения по смежным правам формируется из общей суммы вознаграждения, поступившей от пользователя, за вычетом установленной суммы на покрытие фактических расходов ОКУП.

      54. Сумма вознаграждения по смежным правам, подлежащая выплате по каждому произведению, определяется путем умножения суммы вознаграждения по смежным правам на долю использования соответствующего произведения.

      55. В случае наличия нескольких правообладателей по одному произведению расчет вознаграждения между ними осуществляется в соответствии с долями имущественных прав, указанными правообладателями при размещении сведений в реестрах единой цифровой платформы.

      56. Расчет вознаграждения исполнителям и производителям фонограмм осуществляется по следующим формулам:

      1) для исполнителей и производителей фонограмм

     

      где:

     

– сумма вознаграждения конкретному правообладателю (исполнителю или производителю фонограммы);

     

– использование (ротации) конкретного произведения у пользователя;

     

– общее количество использований (ротаций) всех произведений;

     

– поступившая от пользователя сумма по смежным правам за период;

     

– фактические расходы ОКУП в твердой сумме по смежным правам (удержания);

     

– the amount of related rights previously accounted for as undistributed, but subject to distribution in the current period;

     0.5 is a fixed share for each group (50% for performers, 50% for phonogram producers);

     Dsmeg – the share of a specific copyright holder within the corresponding group.

     All remuneration calculations are carried out automatically through a single digital platform in accordance with these Rules.

     57. The payback deducts the amounts to cover the actual costs, including the actual costs of using a single digital platform, but not more than thirty percent of the amount of remuneration collected.

     58. For the purposes of these Rules, remuneration is recognized as undistributed in the following cases::

     1) if it is impossible to identify the object of copyright and (or) related rights based on the user's report and (or) the report generated by a single digital platform, including cases of absence or inaccuracy of the object's name, identification codes and other data necessary to correlate the use with the object of copyright and (or) related rights;

     2) in the absence or insufficiency of information necessary for the distribution of remuneration among specific copyright holders (including information on the shares of property rights in objects of copyright and (or) related rights).

     59. When providing or updating the information specified in subparagraph 2) of paragraph 58 of these Rules to the OCUP before the expiration of three years from the date of receipt of remuneration to the OCUP current account for the collection, distribution, payment and storage of remuneration, the OCUP pays the appropriate remuneration to the copyright holder within ten working days from the date the copyright holder submits a request through a single digital platform.

     60. For the purposes of these Rules, remuneration is considered unclaimed in the following cases::

     1) the copyright holder's refusal to receive remuneration;

     2) if the copyright holder in whose favor the remuneration has been accrued has ceased its activities (including the liquidation of a legal entity or the death of an individual) and the legal successors have not claimed their rights in accordance with the procedure established by Law.

     61. For the purposes of these Rules, remuneration is recognized as unpaid in the following cases::

     1) if the remuneration has been distributed and accrued to a specific copyright holder, but its payment has not been made.;

     2) if the payment of remuneration is suspended on the basis of a court decision that has entered into force;

     3) if, after three months from the date of accrual of remuneration, the copyright holder in whose favor the remuneration was accrued has not provided or updated the information necessary for payment of remuneration (including bank details).

     62. Undistributed remuneration is stored in the current account of the PAYBACK for the collection, distribution, payment and storage of remuneration for three years from the date of its receipt in the current account of the PAYBACK for the collection, distribution, payment and storage of remuneration.

     63. Upon expiration of the period specified in paragraph 62 of these Rules, the PAYBACK includes such undistributed remuneration in distributable amounts in accordance with the procedure determined by the general meeting of holders of copyright and (or) related rights.

     64. The amounts of collected remuneration distributed and accrued to specific copyright holders are stored in the current account of the PAYBACK for the collection, distribution, payment and storage of remuneration and are paid to the relevant copyright holder as such persons find or apply, regardless of the period of storage of such amounts in the current account of the PAYBACK for the collection, distribution, payment and storage of remuneration.

     65. Remuneration is calculated for the work without further settlement between the copyright holders in the absence of relevant information in the registers of the unified digital platform.

     66. OKUP introduces and ensures that information on the shares of property rights of copyright holders in the object of copyright and (or) related rights is entered and/or updated by copyright holders in the registers of the unified digital platform for the subsequent calculation of remuneration between copyright holders.

     67. The distribution of remuneration for the reproduction of a work for personal purposes without the consent of the author is carried out by an expert organization in accordance with article 26 of the Law.

     68. Based on the information specified in paragraph 36 of these Rules, the Payback on a single digital platform generates a report on the distribution of remuneration, which contains information in accordance with Appendix 10 to these Rules.

     69. Upon the request of the copyright holder, an individual remuneration distribution report is generated on the unified digital platform, which is available exclusively to the relevant copyright holder, which contains information in accordance with Appendix 11 to these Rules.

     70. Based on the reports provided for in paragraphs 68 and 69 of these Rules, a summary report on the distribution of remuneration in the context of all payouts is formed on a single digital platform, which contains information in accordance with Appendix 12 to these Rules.

Section 2. Peculiarities of remuneration distribution for the use of copyright and (or) related rights by TV and radio companies

     71. TV and radio companies provide reports on the use of copyright and (or) related rights in accordance with paragraph 37 of these Rules.

     72. In the event of a discrepancy between the reports of television and radio companies generated by them independently and the report generated by the unified digital platform, the PAYC, with the participation of the relevant television and radio companies and an expert organization, shall make one of the following decisions within ten working days from the date of expressing such disagreement.:

     1) about the acceptance of the user's report;

     2) to finalize the user's report, taking into account the information from the report generated by the unified digital platform;

     3) the refusal to accept the user's report and the acceptance of the report generated by the unified digital platform.

Paragraph 5. Payment of remuneration

     73. Payment of remuneration in the areas of collective management of rights provided for in article 43 of the Law is carried out by the PAYBACK on the basis and within the time limits specified in Article 46 of the Law and the provisions of these Rules.

     74. Remuneration for the reproduction of a work for personal purposes is paid by an expert organization in accordance with article 26 of the Law.

     75. Remuneration is paid at least once a quarter, no later than the 25th day of the month following the reporting period, according to the remuneration distribution report generated on a single digital platform in accordance with paragraph 68 of these Rules.

     76. In accordance with subparagraph 2-1) of paragraph 1 of Article 46 of the Law, the OKUP shall post monthly information on royalties paid and remuneration to performers and producers of phonograms on a single digital platform in accordance with Appendices 13 and 14 to these Rules.

     77. Based on the results of the reporting period, OKUP generates on a single digital platform a report on the balance of funds in the current account of OKUP for collecting, distributing, paying and storing remuneration, which contains information in accordance with Appendix 15 to these Rules.

Chapter 3. The procedure for providing a single point of access to the use of a single digital platform in the field of collective rights management

     78. The subject of a single digital platform performs a set of the following actions to work on a single digital platform:

     1) installs the necessary hardware and software for the possibility of using certificates (public and private key) of electronic digital signature;

     2) receives certificates (public and private key) EDS in the National Certification Center of the Republic of Kazakhstan;

     3) undergoes registration and authorization procedures on a single digital platform.

     79. The subject of the unified digital platform is authorized on the unified digital platform by IIN, through EDS on the home page, as well as through the authorization system of the digital government web portal.

     80. Documents and information generated and (or) posted by the subject of the unified digital platform on the unified digital platform and signed by the EDS of a person authorized to act on behalf of the relevant subject of the unified digital platform are recognized as electronic documents.

     81. The time of creation, placement, receipt and sending of electronic documents and electronic copies of documents on a single digital platform is fixed according to the time of the single digital platform.

     82. The expert organization is not entitled to use the information, including personal data contained on a single digital platform, for purposes not provided for by Law and these Rules, except in cases established by the legislation of the Republic of Kazakhstan.

 

Appendix 1 to the Rules for Managing a single digital platform in the field of collective management of rights and providing a single access point for its use

     This Agreement is concluded between <full name of OKUP>, which carries out its activities in accordance with the Law of the Republic of Kazakhstan "On Copyright and Related Rights" (hereinafter referred to as the Law), hereinafter referred to as "OKUP", represented by <first head>, acting on the basis of <foundation>, on the one hand, and <full name of the copyright holder>, hereinafter referred to as the "Copyright Holder", on the other hand, as follows:

1. SUBJECT OF THE AGREEMENT

     1.1. The Copyright Holder entrusts the sole Proprietor to manage his property rights on a collective basis in the following ways of using his objects <copyright and (or) related rights> or <copyrights> or <related rights> created both before the conclusion of this Agreement and during its validity <scope of use>.

     1.2. OKUP collects, distributes and pays remuneration for the following ways of using objects of <copyright and/or related rights> or <copyrights> or <related rights>: <methods of use>.

     1.3. The list of objects of copyright and (or) related rights is specified in the <annex> to this Agreement.

     1.4. The rights specified in clauses 1.1 and 1.2 of this Agreement are transferred by the Copyright Holder to OKUP for management in the territory of the Republic of Kazakhstan and all countries of the world. In order to ensure the property rights of the Copyright Holder outside the Republic of Kazakhstan, the OKUP concludes contracts with the relevant foreign OKUP and receives remuneration from them in favor of the Copyright Holder for the use of his objects of <copyright and (or) related rights> or <copyrights> or <related rights>.

     1.5. The Copyright Holder entrusts the OCUP to file, without individual powers of attorney, claims and lawsuits on behalf of and in favor of the Copyright Holder, who is a member of the OCUP, in order to recover remuneration for the use of objects of <copyright and/or related rights> or <copyrights> or <related rights> and/or compensation for violation of property rights, as well as represent the interests of the Copyright Holder in all state and other organizations, or take other measures to protect the interests of the Copyright Holder provided for by the legislation of the Republic of Kazakhstan.

     1.6. The Parties have agreed that this Agreement does not affect the personal non-property rights of the Copyright Holder, and does not apply to the right of the Copyright Holder to recycle objects of <copyright and/or related rights> or <copyrights> or <related rights>.

2. GUARANTEES OF THE PARTIES

     2.1. The Copyright Holder guarantees the PAYBACK:

     1) that he is indeed the Rightholder of the objects of <copyright and/or related rights> or <copyrights> or <related rights>, in respect of which his property rights will be managed;

     2) that its object of <copyright and/or related rights> or <copyright> or <related rights> does not violate the rights of third parties.

In the event of claims by third parties regarding infringement of rights to <copyright and/or related rights> or <copyrights> or <related rights> objects created by the Copyright Holder and registered on a single digital platform/in the OKUP, the Copyright Holder will independently take all measures in its power to resolve these claims, including payment of legal and other possible costs at your own expense.

3. RIGHTS AND OBLIGATIONS OF THE PARTIES

     3.1. The Copyright Holder undertakes to:

     1) in order to distribute and pay the collected remuneration in a timely and correct manner, provide personal data and information about the ownership rights to objects of <copyright and/or related rights> or <copyrights> or <related rights> and/or post it on a single digital platform within the time limits and in accordance with the procedure established by law Of the Republic of Kazakhstan and the OKUP documents. If the OKUP does not have information on the property rights of the Copyright Holder on the unified digital platform, the OKUP is unable to distribute and pay remuneration for such objects of <copyright and/or related rights> or <copyrights> or <related rights>;

     2) provide OKUP / post on a single digital platform the information necessary for the fulfillment of obligations under this Agreement, promptly inform OKUP / post on a single digital platform information about the change of a creative pseudonym, other personal data and payment details, as well as about the existence and / or occurrence of alimony obligations. The Copyright Holder agrees that the lack of information on the changes on the unified digital platform makes it impossible for the Copyright Holder to fulfill its obligations to pay the remuneration due to the Copyright Holder accurately and on time.;

     3.2. The Copyright Holder has the right:

     1) receive the remuneration due to him within the time limits established by the legislation of the Republic of Kazakhstan and the PAYBACK documents;

     2) in cases stipulated by the legislation of the Republic of Kazakhstan and the OKUP documents, to receive simultaneously with the payment of remuneration reports containing information on the use of his rights and on the distribution of remuneration through a single digital platform.

     3.3. The Payback undertakes:

     1) use a single digital platform;

     2) to conclude agreements on mutual representation of interests with the PCO in the territory of the Republic of Kazakhstan;

     3) conclude license agreements with users for the use of objects of <copyright and/or related rights> or <copyright> or <related rights> of the Copyright Holder, providing that users will comply with the legislation of the Republic of Kazakhstan when using them and pay them remuneration;

     4) post on its Internet resource and on a single digital platform information about contracts concluded with users, including the name of the user and his location, as well as the date of conclusion of such an agreement;

     5) identify potential users to grant them licenses (permits) to use objects of <copyright and/or related rights> or <copyrights> or <related rights>;

     6) collect remuneration provided for by license agreements with users in accordance with the legislation of the Republic of Kazakhstan and the documents of the payback;

     7) distribute and pay remuneration to the Rightholder at least once a quarter in accordance with the legislation of the Republic of Kazakhstan and the documents of the OKP;

     8) simultaneously with the payment of remuneration, submit reports to copyright and related rights holders through their personal account on the OKUP Internet resource and the unified digital platform containing information on the use of their rights, including the amount of remuneration collected and the amounts deducted from it.;

     9) to keep on the current account the PAYBACK for the collection, distribution, payment and storage of remuneration of the collected and distributed remuneration of the rightholder until payment to the appropriate rightholder as such persons find or apply, regardless of the retention period of such amounts;

     10) to enter into a single digital platform information about the collected, distributed, paid remuneration, as well as remuneration aimed at covering the costs of the payback;

     11) create registers containing information about copyright holders, about the rights transferred to its management, as well as about objects of <copyright and (or) related rights> or <copyrights> or <related rights>;

     12) post on its Internet resource and on a single digital platform information about the rights transferred to its management, including the name of the objects of <copyright and (or) related rights> or <copyright> or <related rights>, the name of the author or other rightholder, and in the case of transfer of rights under agreements on mutual representation of interests with payback, – the name of such payback, remuneration rates;

     13) post information about representatives of the OKP on its Internet resource and on a single digital platform.;

     14) post it on a single digital platform no later than ten working days:

     amendments made to the charter and other constituent documents of such an AML registered with the judicial authorities;

     copies of concluded bilateral and multilateral agreements on mutual representation of interests with foreign companies;

     copies of the resolutions of the General Meeting;

     15) represent the interests of the Copyright Holder in courts, in all state and other organizations, or take other measures to protect the interests of the Copyright Holder provided for by the legislation of the Republic of Kazakhstan;

     16) perform any other legal actions in accordance with the law in order to ensure the rights of the Copyright Holder transferred under this Agreement.

     3.4. Payback is entitled to:

     1) conclude agreements on mutual representation of interests with foreign companies;

     3) require Users to provide information and documents necessary for the collection and distribution of remuneration;

     1.1. In this Agreement, the terms are used in the meanings defined by the Law and the Rules for Managing a single digital platform in the field of Collective Management (hereinafter referred to as the Rules).:

     1) the unified digital platform in the field of collective rights management (hereinafter referred to as the unified digital platform) is a digital system of an expert organization that provides a single access point in the field of collective rights management in accordance with the Law;

     2) repertoire – a set of objects of copyright and (or) related rights, the property rights to which have been transferred by the relevant organization for collective management of rights (hereinafter referred to as OKUP) to collective management, including objects managed on the basis of accreditation.

2. SUBJECT OF THE AGREEMENT

     2.1. The Parties mutually grant each other the authority to represent the interests of copyright holders in terms of collective management of property rights to objects of <copyright and/or related rights> or <copyrights> or <related rights> included in the repertoire of each of the Parties in the territory of <the territory of the Republic of Kazakhstan>.

     2.2. Representation includes powers (within the repertoire of the represented Party):

3. REPERTOIRE AND SCOPE OF REPRESENTATION

     3.1. The scope of the rights and repertoire transferred in the representative office is determined by:

     1) registers of a single digital platform in the field of collective rights management;

     2) repertoire lists posted by the Parties on a single digital platform in the field of collective rights management;

     3) the exceptions provided for in paragraph 3.4 of this Agreement.

     3.2. Each Party confirms that it has the necessary authority to transfer the rights in relation to its repertoire to the representative office.

     3.3. Representation applies to the methods of use related to the areas of collective management of rights provided for by Law: <name of the field of use>.

4. LICENSING AND FEE COLLECTION PROCEDURE

     4.1. The Party performing representative functions (the "Representing Party") enters into license agreements and/or remuneration agreements with users through a single digital platform in the field of collective rights management.

     4.2. The Submitting Party keeps records of contracts, receipts and user reports on a single digital platform in the field of collective rights management.

5. DISTRIBUTION AND TRANSFER OF REMUNERATION BETWEEN THE PARTIES

     5.1. The Submitting Party forms a report on the remuneration collected according to the repertoire of the Represented Party for the reporting period and places it on a single digital platform in the field of collective rights management.

     5.2. The amounts to cover the actual costs of collection, distribution and payment must not exceed the amount established by Law.

     5.3. The Parties are not allowed to re-deduct the amounts to cover the actual costs of collecting, distributing and paying out of the amount of the collected remuneration received from the other Party.

     5.4. The Submitting Party distributes remuneration among the copyright holders on a single digital platform in accordance with the Rules for Managing a single digital platform in the field of collective management.

     5.5. Remuneration is transferred to the Represented Party no later than <number of days> business days after the preparation of the distribution report on the unified digital platform for the relevant reporting period.

     5.6. The Represented Party shall pay remuneration to the copyright holders in accordance with the requirements of the Law.

     5.7. The Submitting Party forms a report on the remuneration paid according to the repertoire of the Represented Party for the reporting period and places it on a single digital platform in the field of collective rights management.

6. REPORTING AND DATA EXCHANGE

     6.1. The Parties shall post on a single digital platform in the field of collective rights management up-to-date information on:

     1) repertoire;

     2) object exceptions;

     3) concluded agreements;

     1.5. The Agreement does not apply to the non-proprietary rights of the authors and other ways of using objects of <copyright and/or related rights> or <copyrights> or <related rights> that are not explicitly specified in the subject matter of the Agreement.

2. FINANCIAL CONDITIONS

     2.1. For the use of published objects of <copyright and/or related rights> or <copyright> or <related rights> by <type of use> on the basis of this Agreement, the User pays a PAYBACK <royalties and remuneration to performers and producers of phonograms> or <royalties> or <remuneration to performers and producers of phonograms> in the amount of <bid size> tenge.

     2.2. The amount of <royalties and remuneration to performers and producers of phonograms> or <royalties> or <remuneration to performers and producers of phonograms> provided for in clause 2.1 of this Agreement is paid by the User on a monthly basis exclusively in non-cash form by transfer to the OKUP settlement account for collecting, distributing, paying and storing remuneration no later than the 10th day of the month following for the reporting period.

     2.3. The user provides a report on the use of <copyright and/or related rights> or <copyright> or <related rights> objects by one of the following methods: <method of providing a usage report: self-entry of information on a single digital platform/generation of a report on a single digital platform> monthly no later than the 10th (tenth) dates of the month following the reporting month, which contains information to be filled out in accordance with Appendix 9 to the Rules for Managing a Single Digital Platform in the Field of Collective Management and Providing a single Access Point for its Use (hereinafter referred to as the Rules).

     2.4. The User is responsible for the accuracy of the information provided.

3. GUARANTEES OF THE PARTIES

     3.1. OKUP guarantees the distribution and payment of remuneration paid by the User under this Agreement to the Copyright Holders in accordance with the Law and the Rules.

     3.2. OKUP guarantees the settlement of possible property claims of the copyright holders against the User arising from this Agreement, provided that the User fulfills his obligations under this Agreement in full and on time.

     3.3. In the event of a change in the organizational and legal form, the nature of the activity, location and details, the Parties shall promptly notify each other in writing and (or) through a single digital platform.

4. PRIVACY

     4.1. OKUP undertakes to maintain the confidentiality of information received in connection with the execution of this Agreement, as well as the terms of the Agreement, and guarantees that it will take all measures to ensure the non-disclosure of such information.

     4.2. Disclosure of information to an expert organization managing a single digital platform is allowed in order for the expert organization to perform the functions assigned to it by Law and Regulations.

     4.3. Disclosure of the information received and the terms of the agreement to third parties, with the exception of employees of the OKUP related to the enforcement of the Agreement, as well as the copyright holders for the remuneration paid, is allowed only with the written permission of the User or at the request of authorized government agencies.

5. DISPUTE RESOLUTION

     5.1. In the event of disagreements and disputes between the PCO and the User on or in connection with the issues provided for in this Agreement, the Parties will take all measures to resolve them through negotiations.

     5.2. If it is impossible to settle disputes through negotiations, they are subject to judicial review in accordance with the legislation of the Republic of Kazakhstan.

6. TERM OF THE AGREEMENT

     6.1. This Agreement comes into legal force from the date of signing and is valid until <the term of the Agreement>.

     6.2. The term of this Agreement is automatically extended each time for one calendar year until one of the Parties notifies the other Party in writing and/or via a single digital platform of its termination, but not later than 30 (thirty) calendar days before the expiration date.

     6.3. The Agreement may be terminated prematurely by agreement of the parties, as well as at the request of one of the Parties in case of violation by the other party of the obligations stipulated in the Agreement.

     6.4. After termination of this Agreement, its provisions provided for in Section 1 remain in force until the User fulfills the obligations arising from this Agreement in full.

     6.5. Termination of the Agreement deprives the User of the right to use the objects of <copyright and/or related rights> or <copyrights> or <related rights> obtained on its basis.

7. OTHER CONDITIONS

     7.1. Conditions not regulated by this Agreement, but related to its subject matter, are regulated in accordance with the legislation of the Republic of Kazakhstan.

     7.2. All amendments and additions to this Agreement are valid only if they are made in the form prescribed by the legislation of the Republic of Kazakhstan and signed by authorized representatives of the Parties.

The remuneration amount provided for in clause 3.1 of this Agreement is paid by the User on a monthly basis exclusively in non-cash form by transfer to the OKUP settlement account for collecting, distributing, paying and storing remuneration no later than the 10th day of the month following the reporting one.

     3.3. The User submits a report on the use of the phonogram using one of the following methods: <method of submitting a usage report: self-entry of information on a single digital platform/generation of a report on a single digital platform> monthly no later than the 10th (tenth) day of the month following the reporting one, which contains information to be filled in accordance with Appendix 9 to The Rules for managing a single digital platform in the field of collective rights management and providing a single access point for its Use (hereinafter referred to as the Rules).

     3.4. The User is responsible for the accuracy of the information provided.

     3.5. If concerts or other events are held on the User's site during the quarter, for which entrance tickets will be sold, the User additionally pays remuneration in the amount of <bid amount> percent of the gross fee received from ticket sales for such events.

4. GUARANTEES

     4.1. OKUP guarantees the distribution and payment of remuneration paid by the User under this Agreement to the Copyright Holders in accordance with the Law and the Rules.

     4.2. OKUP guarantees the settlement of possible property claims of the copyright holders against the User arising from this Agreement, provided that the User fulfills his obligations under this Agreement in full and on time.

     4.3. In the event of a change in the organizational and legal form, the nature of the activity, location and details, the Parties shall promptly notify each other in writing and (or) through a single digital platform.

5. PRIVACY

     5.1. OKUP undertakes to maintain the confidentiality of information received in connection with the execution of this Agreement, as well as the terms of the Agreement, and guarantees that it will take all measures to ensure the non-disclosure of such information.

     5.2. Disclosure of information to an expert organization managing a single digital platform is allowed in order for the expert organization to perform the functions assigned to it by Law and Regulations.

     5.3. Disclosure of the information received and the terms of the agreement to third parties, with the exception of employees of the OKUP related to the enforcement of the Agreement, as well as the copyright holders for the remuneration paid, is allowed only with the written permission of the User or at the request of authorized government agencies.

6. DISPUTE RESOLUTION PROCEDURE

     6.1. In the event of disagreements and disputes between OKUP and the User on or in connection with the issues provided for in this Agreement, the Parties will take all measures to resolve them through negotiations.

     6.2. If it is impossible to settle disputes through negotiations, they are subject to judicial review in accordance with the legislation of the Republic of Kazakhstan.

7. TERM OF THE AGREEMENT

     7.1. This Agreement comes into force from the date of signing and is valid until <the term of the Agreement>.

     7.2. The term of this Agreement is automatically extended each time for one calendar year until one of the Parties notifies the other Party in writing and/or via a single digital platform of its termination, but not later than thirty calendar days before the expiration date.

     7.3. The Agreement may be terminated prematurely by agreement of the parties, as well as at the request of one of the Parties in case of violation by the other party of the obligations stipulated in the Agreement.

     7.4. After termination of this Agreement, its provisions provided for in Section 1 remain in force until the User fulfills the obligations arising from this Agreement in full.

8. OTHER CONDITIONS

     8.1. Conditions not regulated by this Agreement, but related to its subject matter, are regulated in accordance with the legislation of the Republic of Kazakhstan.

     8.2. All amendments and additions to this Agreement are valid only if they are made in the form prescribed by the legislation of the Republic of Kazakhstan and signed by authorized representatives of the Parties.

     The National Institute of Intellectual Property of the Committee on Intellectual Property Rights of the Ministry of Justice of the Republic of Kazakhstan, established by decision of the Government of the Republic of Kazakhstan and operating in accordance with the legislation of the Republic of Kazakhstan, represented by <full name, position> acting on the basis of <foundation>, hereinafter referred to as the "expert organization", on the one hand, and <full name of the OKUP>, which carries out its activities in accordance with the Law of the Republic of Kazakhstan "On Copyright and Related Rights" (hereinafter – The Law), represented by <full name, position> acting on the basis of <basis>, hereinafter referred to as the "OCUP", on the other hand, collectively referred to as the "Parties", taking into account the functions performed by the expert organization in accordance with Articles 9-2 and 45-1 of the Law, as well as the functions and duties of the OCUP in accordance with In accordance with articles 45 and 46 of the Law, we have concluded this Agreement on the Use of a single digital platform in the field of collective rights management (hereinafter referred to as the Agreement) on the following:

1. SUBJECT OF THE AGREEMENT

     1.1. The Expert organization provides a single access point for the use of a single digital platform in the field of collective rights management (hereinafter referred to as the single digital platform) in accordance with the Law.

     1.2. OKUP uses a single digital platform for the purpose of collecting, distributing and paying remuneration to copyright holders in accordance with the Law and the Rules for Managing a single digital platform in the field of collective Rights management and providing a single access point for its use (hereinafter referred to as the Rules).

2. FINANCIAL CONDITIONS

     2.1. In accordance with the Law, the actual expenses of the payback must not exceed thirty percent of the amount of remuneration collected.

2.2. The actual costs of the RECOUP include expenses related to the use of a single digital platform as part of its collective rights management activities.

     2.3. The payback reimburses the actual expenses of the expert organization for the implementation, operation, provision of information content, development, maintenance and system maintenance of the unified digital platform, but not more than fifteen percent of the amount of remuneration collected.

     2.4. OKUP pays the actual costs of using the unified digital platform by transferring funds to the settlement account of the expert organization no later than the tenth day of the month following the reporting quarter.

     2.5. The Expert organization, at the request of the CCO, provides it with documents confirming the actual costs of ensuring the operation of the unified digital platform specified in clause 2.3 of this Agreement.

     2.6. If the amount of the actual expenses of the expert organization in accordance with clause 2.3 of this Agreement exceeds fifteen percent of the amount of remuneration collected by all the payouts for the reporting period, the expert organization shall issue an invoice to the payouts for the collection, distribution, payment and storage of remuneration to reimburse a portion of such expenses in the amount of fifteen percent of the total amount of remuneration collected for the reporting period. The remaining part of the actual expenses is not subject to separate reimbursement and does not form a debt to the expert organization.

3. RIGHTS AND OBLIGATIONS OF THE PARTIES

     3.1. Payback is entitled to:

     1) request and receive advisory assistance from an expert organization on the functioning of a single digital platform;

     2) inform the expert organization about technical problems that arise when working with the unified digital platform, and request their elimination.

     3.2. The Payback undertakes:

     1) use a single digital platform for its intended purpose in accordance with the Law and Regulations;

     2) when registering and authorizing on a single digital platform, provide (fill in) complete and reliable information in accordance with the Law and Regulations;

     3) ensure the timeliness of posted information;

     4) not to post information on a single digital platform that violates the legislation of the Republic of Kazakhstan;

     5) to pay the expert organization the amounts to cover the actual costs in accordance with clause 2.3 of this Agreement.

     3.3. The expert organization has the right to:

     1) request and receive the necessary information from the CBM to ensure the functioning of a single digital platform;

     2) to verify the accuracy of the information provided by the OKUP on a single digital platform;

     3) monitor the unified digital platform, as well as ensure the interaction of the unified digital platform with digital systems;

     4) carry out scheduled maintenance and/or maintenance work on a single digital platform. The duration of preventive and/or technical work is set taking into account the priority of weekends and holidays.;

     5) carry out unscheduled preventive and/or technical work in coordination with the authorized body.\

     3.4. The Expert organization undertakes to:

     1) to ensure the full and proper fulfillment of the obligations assumed under the Agreement;

     2) ensure the functioning, information content, development, maintenance and system maintenance of the unified digital platform in accordance with the requirements of the Law;

     3) provide consulting assistance to the subject of the unified digital platform on the functioning of the unified digital platform;

     4) ensure the cybersecurity of data hosted on a single digital platform.

4. LEGAL REGIME OF PERSONAL DATA

     4.1. OKUP gives its consent to the expert organization for the processing, storage, use and transfer of personal data of copyright holders, including, but not limited to, last name, first name, patronymic, pseudonym, contact information, identification codes, information about the objects of copyright and (or) related rights owned by it, shares of rights and other information necessary for the purposes of collective rights management using a single digital platform.

     4.2. OKUP ensures the legality of the collection and transfer of personal data, as well as the consent of the subjects of personal data, unless otherwise provided by the legislation of the Republic of Kazakhstan.

     4.3. The Expert organization stores and processes information posted by OKUP on a single digital platform solely for the purpose of performing the functions assigned to it by Law and Regulations.

     4.4. Termination or termination of this Agreement does not entail the destruction of personal data and other information on a single digital platform hosted by the OKUP, if their further storage is necessary to comply with the requirements of the legislation of the Republic of Kazakhstan.

5. RESPONSIBILITY OF THE PARTIES

     5.1. The Parties are responsible for non-fulfillment or improper fulfillment of obligations under the Agreement in accordance with the legislation of the Republic of Kazakhstan.

     5.2. The expert organization is not responsible to the Payback for the quality of communication channels, settings of Internet browsers and for interruptions in work that occur for reasons beyond the control of the expert organization.

6. TERM OF THE AGREEMENT

     6.1. This Agreement comes into force and is valid for one calendar year from the date of its signing by the Parties.

     6.2. The term of this Agreement is automatically extended each time for one calendar year until one of the Parties notifies the other party of its termination through a single digital platform, but not later than thirty calendar days before the expiration date.

     6.3. The Agreement may be terminated prematurely in accordance with the procedure and on the grounds provided for by the legislation of the Republic of Kazakhstan.

7. CIRCUMSTANCES OF FORCE MAJEURE (FORCE MAJEURE)

     7.1. The Parties are released from liability for non-fulfillment or improper fulfillment of their obligations under the Agreement, if such was the result of force majeure (force majeure), which include without limitation: floods, fires, man-made disasters, other natural disasters, military actions, terrorist acts, blockades, strikes, as well as prohibited measures. government agencies that had a direct impact on the fulfillment of the terms of the Agreement.

     7.2. In the event of a force majeure event, the Party for whom it is impossible to fulfill its obligations must inform the other Party within fourteen calendar days of the occurrence of such circumstances and their causes, as well as provide documents confirming the occurrence of such circumstances issued by the competent authority.

8. DISPUTE RESOLUTION PROCEDURE

     8.1. All disputes and disagreements arising in connection with the performance of this Agreement are resolved through negotiations between the Parties.

     8.2. If the Parties are unable to resolve the dispute under the Agreement within fifteen working days after the start of such negotiations, either Party may request that the matter be resolved in court at the location of the Expert Organization.

     8.3. All issues not regulated by the Agreement are regulated by the legislation of the Republic of Kazakhstan.
