On approval of the standard charter of the certification body

In accordance with subparagraph 44) of Article 24 of the Building Code of the Republic of Kazakhstan, I ORDER:
1. To approve the attached standard charter of the certification body.
2. The Committee on Construction and Housing and Communal Services of the Ministry of Industry and Construction of the Republic of Kazakhstan, in accordance with the procedure established by law, shall ensure:
1) the state registration of this order in the Ministry of Justice of the Republic of Kazakhstan;
2) posting of this order on the Internet resource of the Ministry of Industry and Construction of the Republic of Kazakhstan after its official publication.
3. Control over the execution of this order is entrusted to the supervising Vice Minister of Industry and Construction of the Republic of Kazakhstan.
4. This order will enter into force on July 1, 2026 and is subject to official publication.

The standard charter of the certification body
Chapter 1. General provisions
1. This Charter of the certification center (hereinafter referred to as the Center) has been developed in accordance with the Civil Code of the Republic of Kazakhstan, the Building Code of the Republic of Kazakhstan, the Law of the Republic of Kazakhstan "On Non–Profit Organizations" and approved by the decision of the founder(s) of "__" ____ 20__ of the year.
2. A certification body is recognized as a legal entity in the form of an association of individuals and (or) legal entities for the certification of specialists (experts) in the field of architectural, urban planning and construction activities.
3. Chapter 2. The object and objectives of the Center's activities
6. The subject of the Center's activity:
1) certification of specialists (experts) in the field of architectural, urban planning and construction activities;
2) maintaining registers of certified specialists (experts) in the field of architectural, urban planning and construction activities;
3) other types of activities that are not prohibited by the legislation of the Republic of Kazakhstan and correspond to the statutory goals.
7. The purpose of the Center's activities is:
assessment of the compliance of a candidate applying for certification with the requirements of professional standards in accordance with the procedure determined by the authorized body for Architecture, Urban Planning and Construction;
protection of the rights and legitimate interests of specialists (experts) in the field of architectural, urban planning and construction activities;
consideration of complaints from candidates who disagree with the certification results;
monitoring the activities of certified specialists (experts) in the field of architectural, urban planning and construction activities.
Chapter 3. Rights and obligations of the Center
8. The certification body has the right:
1) participate in the work on improving regulatory legal acts related to the certification of specialists (experts) in the field of architectural, urban planning and construction activities by submitting proposals to government agencies;
2) to represent and protect the rights and legitimate interests of certified specialists (experts) in the field of architectural, urban planning and construction activities;
3) exercise other rights stipulated by the laws of the Republic of Kazakhstan.
9. The certification body is obliged to:
1) to certify specialists (experts) in the field of architectural, urban planning and construction activities in accordance with the procedure established by the authorized body for architecture, urban planning and construction;
2) issue a certificate of a specialist (expert) in the field of architectural, urban planning and construction activities with data entry in the register of certified specialists (experts) in the field of architectural, urban planning and construction activities;
3) develop and approve the procedure for internal control (monitoring) over the activities of certified specialists (experts) in the field of architectural, urban planning and construction activities in coordination with the authorized body for architecture, urban planning and construction;
4) approve the schedule of professional development for certified specialists (experts) in the field of architecture, urban planning and construction activities;
5) enter information in the register of certified specialists (experts) in the field of architectural, urban planning and construction activities on violations identified by certified specialists (experts) in the field of architectural, urban planning and construction activities from the moment the violation is detected and notify the authorized body for architecture, urban planning and construction;
6) take measures against a certified specialist (expert) in the field of architectural, urban planning and construction activities for violations of the legislation of the Republic of Kazakhstan on architectural, urban planning and construction activities, including termination of the certificate;
7) monitor the activities of certified specialists (experts) in the field of architectural, urban planning and construction activities;
8) perform other duties stipulated by the laws of the Republic of Kazakhstan.
Chapter 4. Management bodies of the Center and their formation procedure
10. The management bodies of the Center are:
1) the supreme body is the General Meeting of Founders (or the founder) (hereinafter referred to as the Founders' Meeting).
The competence of the Founders' Meeting includes the following issues::
1) adoption, amendments and additions to the founding documents of the Center;
2) voluntary reorganization and liquidation of the Center;
3) determining the competence, organizational structure, and procedure for the formation and termination of the powers of the Center's governing bodies;
4) determining the procedure and frequency of presentation of financial statements of executive bodies, as well as the procedure for conducting inspections by the control body and approving their results;
5) making, within the limits established by legislative acts, a decision on the participation of the Center in the establishment or activities of other legal entities, its branches and representative offices.
The Founders' Meeting performs its duties free of charge or for a fee by decision of the Founders' Meeting.
The Founders' Meeting is held at least once during the calendar year.
The members of the Founders' Meeting are elected for a three-year term.
An extraordinary Meeting of the Founders is convened at the request of the members of the Meeting of the Founders, the Director of the Center and members of the Audit Commission.
The decision of the Founders' Meeting on issues within its competence is taken by a simple majority of the votes of the members of the Founders' Meeting participating in its meeting, and is formalized in a protocol signed by the members of the Founders' Meeting who participated in the meeting. The decision of the Founders' Meeting is binding on all management bodies of the Center.
The Founders' Meeting is recognized as valid if at least half of the total number of members of the Founders' Meeting are present at it.;
2) the executive body is the Director of the Center, appointed by the decision of the Founders' Meeting.
The competence of the Director of the Center includes the following issues::
1) carrying out the current management of the Center's activities, with the exception of issues attributed by the founding documents of the Center to the exclusive competence of the supreme governing body, is accountable to this body;
2) organization of financial and economic activities of the Center;
3) conclusion of an agreement based on a decision of the Founders' Meeting;
4) representation of the Center without a power of attorney and a decision of the Founders' Meeting in all courts, government agencies and other organizations;
5) monitoring and registration of certified specialists (experts) in the field of architectural, urban planning and construction activities;
6) ensuring the transparency and transparency of the Center's activities.
The Director of the Center is elected from among the founders by a decision of the Founders' Meeting for a three-year term and is responsible for the results of the Center's activities.;
3) the control body is the audit commission (auditor), elected by the members of the Founders' Meeting.
The competence of the audit commission (auditor) includes the issues of checking the financial documentation of the Center at least once a year. The report of the Audit Commission (auditor) on the results of the audit of the financial documentation of the Center is considered at the Meeting of the Founders.
The members of the Audit Commission (auditor) are elected by a decision of the Founders' Meeting consisting of at least 3 persons for a three-year term. The members of the Audit Commission may not simultaneously perform the duties of the executive and the supreme governing body of the Center.

11. The full-time employees of the Center working under an employment contract are subject to the labor legislation of the Republic of Kazakhstan.
Chapter 5. The property of the Center
12. The Center's property is formed by:
1) contributions from the founders;
2) income from statutory activities;
3) other sources not prohibited by the legislation of the Republic of Kazakhstan.
13. The Center's property is indivisible and is used exclusively for statutory purposes.
Chapter 6. Amendments to the Charter
14. Amendments and additions to these Articles of Association may be made only by a decision of the Founders' Meeting.
15. Amendments and additions to the Charter of the Center are made if more than half of the total number of those present at the Founders' Meeting voted for them.
16. All changes are subject to state registration.
Chapter 7. Reorganization and liquidation
17. The Center may be reorganized or liquidated in accordance with the procedure established by the legislation of the Republic of Kazakhstan.
18. The property remaining after liquidation is used for purposes consistent with the statutory activities, unless otherwise provided by law. The decision on the transfer of property is made by the Founders' Meeting on the recommendation of the liquidation commission with the mandatory publication of the transferred funds.
