GENERAL PROVISIONS
1.1. The Limited Liability Partnership "...", hereinafter referred to as the Partnership, is a legal entity under the legislation of the Republic of Kazakhstan and other legislative acts regulating the business activities of enterprises. 1.2. LLP "..." is established as a small business entity with an average annual number of employees of no more than fifty people and a total annual asset value of no more than sixty thousand monthly calculation indices. 1.3. THE LEGAL STATUS OF THE PARTNERSHIP
3.1. The Partnership acquires the rights of a legal entity from the moment of its state registration. 3.2. The Partnership has a seal, an independent balance sheet, and bank accounts. 3.3. In order to achieve the goals of its activities, the Partnership has the right to conclude transactions on its behalf, acquire property and personal non-property rights, bear obligations, 3.4. Be a plaintiff and defendant in court. 3.5. The partnership has the right to establish branches and representative offices in the territory of the Republic of Kazakhstan and abroad, to join associations (unions) with other legal entities, as well as to be the founder of other legal entities. 3.6. The Partnership is liable for its obligations with all property belonging to it. The State is not responsible for the debts of the Partnership. The partnership is not responsible for the debts of the state. The partnership is not liable for the obligations of its participant, except in cases provided for by applicable law. The participant of the partnership is not liable for its obligations and bears the risk of losses related to the activities of the Partnership, within the limits of the value of the contribution. 3.7. The Partnership has the right to issue bonds in accordance with the current legislation. State bodies are not entitled to participate in the activities of the Partnership. State-owned enterprises may be members of a Partnership with the consent of the State, represented by an authorized body. Institutions may be members of a Partnership with the permission of the owner, unless otherwise provided by legislative acts.
RIGHTS AND OBLIGATIONS OF A PARTNERSHIP PARTICIPANT
4.1. A Member of the Partnership has the right to: - participate in the management of the Partnership's affairs in accordance with the procedure established by these Articles of Association; - receive information about the Partnership's activities and get acquainted with its accounting documents; - receive income from the Partnership's activities in accordance with current legislation; - receive, in the event of liquidation of the Partnership, the value of part of the property remaining after settlements with creditors, or part of this property in 4.2. A Member of the Partnership may have other rights provided for by applicable law. 4.3. The participant of the Partnership is obliged to: to make contributions to the authorized capital of the Partnership in the manner, in the amount and within the time limits stipulated in the constituent documents; 4.4. A Participant in the Partnership may also bear other obligations stipulated by the current legislation and constituent documents.
PURPOSE AND TYPES OF ACTIVITIES OF THE PARTNERSHIP
5.1. The main purpose of the Partnership is to generate income. 5.2. Types of Partnership activities: - trade and purchasing activities; - provision of household services to the population; - production, purchase and sale of industrial and consumer goods; - organization of wholesale and retail trade of consumer goods; - opening and operation of catering establishments, grocery stores; - organization and operation of trading houses, mini and supermarkets, etc.; - marketing, engineering, management, leasing, "know-how"; - organization and holding of commercial exhibitions, fairs and auctions; - wholesale of agricultural raw materials and live animals; - wholesale of dairy products, eggs, edible oils and fats; - transportation and related services; - office management services; - analysis and marketing of the consumer market; - passenger and cargo transportation in the territory of the Republic of Kazakhstan and beyond; - foreign economic activity in accordance with the procedure established by law; - provision of all types of services, including: research, design, engineering, survey, translation, representation, computing, reference, brokerage, management, commission, organizational; - wholesale and retail trade; - trade and intermediary activities; - production and sale of consumer goods and industrial goods intended use (clothing, shoes, building materials, household goods, household chemicals, furniture); - provision of computer programs; - production and sale of printed and blank products; - investment activities; - provision of activities to preschool organizations (nursery/kindergarten); - general education activities; - preschool education; - medical activity; - provision of medical services; - general commercial activities; - other types of activities that do not contradict the current legislation of the Republic of Kazakhstan.
