Article 4. Constituent documents of a credit partnership The Law on Credit Partnerships

      1. The founding documents of a credit partnership are the founding agreement and the articles of association.  

      2. The founding agreement of a credit partnership, in addition to the information provided by the legislative acts of the Republic of Kazakhstan, must contain:  

      1) the minimum amount of the mandatory contribution to be paid upon joining a credit partnership;  

      2) the procedure and conditions for making a mandatory contribution by the participants of the credit partnership;  

      3) the procedure for distributing the net income of a credit partnership, taking into account the mandatory contributions and additional contributions made by the participants.  

      3. The charter of a credit partnership, in addition to the information provided by the legislative acts of the Republic of Kazakhstan, must contain:  

      1) the corporate name and location of the credit partnership;  

      2) the rights and obligations of the participants of the credit partnership;  

      3) the procedure and conditions of participation in a credit partnership;  

      4) information on the amount of the authorized capital of the credit partnership;  

      5) the procedure and conditions for making and withdrawing an additional contribution by the participants of the credit partnership;  

      6) regulations on the bodies of the credit partnership, the procedure for making decisions, including on issues requiring a qualified three-quarters majority of the votes of the participants present and represented at the general meeting of the participants of the credit partnership;  

      7) distribution of competence between the bodies of the credit partnership;  

      8) the procedure for placing the money of the credit partnership;  

      9) the procedure for making amendments and additions to the charter of the credit partnership;  

      10) the procedure for the formation and use of the reserve capital of a credit partnership.  

     4. Excluded by the Law of the Republic of Kazakhstan dated 07/03/2019 No. 262-VI (effective from 01/01/2020).

      This Law defines the legal status, the procedure for the creation, reorganization and liquidation, as well as the regulation of the activities of credit partnerships.
