Article 76. Termination of the limited partnership of the Civil Code of the Republic of Kazakhstan
1. A limited partnership is terminated upon the retirement of all contributors involved in it. The general partners have the right to transform the limited partnership into a general partnership instead of liquidation. A limited partnership is also liquidated on the grounds provided for the liquidation of a general partnership.
2. In the event of liquidation of a limited partnership, depositors have a pre-emptive right over general partners to receive contributions from the property of the partnership remaining after satisfying the claims of its creditors. The remaining property of the limited partnership is distributed among the general partners and investors in proportion to their contributions to the property of the partnership, unless a different procedure is established by the constituent documents.
