Commentary to article 75. Managing the affairs of a limited partnership The Civil Code of the Republic of Kazakhstan
The affairs of a limited partnership are managed only by general partners according to the rules established by the Civil Code for the management of a general partnership (art. 65 of the Civil Code). Depositors do not participate in the management of the partnership. They can act on behalf of the limited partnership only by proxy, like any third party. Depositors do not have the right to challenge the actions of the general management partners of the partnership, if these actions comply with the law and the constituent documents. The abuses of the general partners may be challenged by the depositors.
