Your Excellency,
I have the honor to make the following proposals from the Government of Japan, adopted following the last meeting of representatives of the Government of the Republic of Kazakhstan and the Government of Japan, regarding the Project to improve the equipment of the educational complex (hereinafter referred to as the "Equipment") A.V. Seleznev Choreographic College in Almaty (hereinafter referred to as the "Project"): 1. In order to improve and develop the educational activities of the Republic of Kazakhstan, the Government of Japan submits to the Government of the Republic of Kazakhstan, in accordance with the national legislation of Japan, a Grant in the amount of 48,600,000 yen (hereinafter referred to as the "Grant"). 2. The grant is considered valid from the date of entry into force of these agreements until March 13, 2007. This period may be extended by mutual agreement of the Governments concerned. 3. (1) This Grant is used by the Government of the Republic of Kazakhstan only for the purchase of equipment manufactured in Japan and for payment for services related to the implementation of the project, the supply of necessary products, including transportation to the territory of the Republic of Kazakhstan. (2) Nevertheless, despite the provision of subparagraph 1, if both parties consider it necessary, it is allowed to purchase equipment manufactured in other countries (not in Japan or the Republic of Kazakhstan) within the framework of the grant. 4. The Government of the Republic of Kazakhstan or an authorized body must conclude a contract with the Japanese authorities to pay for the purchase of equipment and services (the unit of payment is the Japanese yen) specified in paragraph 3. (The term "Japanese authorities" means: Japanese individuals or Japanese legal entities headed by Japanese individuals). Such contracts must be certified by the Government of Japan for compliance with the grant. 5. (1) The Government of the Republic of Kazakhstan or an authorized body must open a bank account in the name of the Government of the Republic of Kazakhstan in any bank of Japan designated by the Government of the Republic of Kazakhstan or an authorized body, which will be used only for the purpose of fulfilling the Grant. (2) The Government of Japan must pay in Japanese yen the obligations of the Government of the Republic of Kazakhstan or an authorized body under contracts certified by the Government of Japan in accordance with paragraph 4 (hereinafter referred to as "certified contracts") on the account specified in subparagraph 1, upon presentation of a request for payment by the bank specified in subparagraph 1. 6. (1) The Government of the Republic of Kazakhstan must ensure the following: a) ensure the passage of the necessary customs procedures and transportation of equipment in the territory of the Republic of Kazakhstan; b) exempt the Japanese authorities from paying tax duties, internal taxes and other charges that may be levied in the Republic of Kazakhstan in respect of the supply of equipment and services under the Grant; c) provide the Japanese authorities, if necessary, during the supply of equipment and services under certified contracts, services for registration of entry into the territory of the Republic of Kazakhstan; and accommodation during the period of work; d) proper and efficient use of equipment; e) pay all costs related to the implementation of the Grant, which are not covered by the Grant; (2) With regard to shipping and marine insurance of equipment purchased under a Grant, the Government of the Republic of Kazakhstan must refrain from any restrictions that may damage healthy and fair competition among shipping and marine insurance companies. (3) Equipment purchased under the Grant may not be exported from the territory of the Republic of Kazakhstan. 7. Both Governments should advise the opposite side on any issues that may arise regarding these agreements. I propose the following to you: this Note and Your Excellency's reply Note on behalf of the Government of the Republic of Kazakhstan form an Agreement between the two Governments, which will enter into force on the date of receipt of a written notification confirming the completion of the relevant domestic procedures necessary for its entry into force. I take this opportunity to renew the assurances of my high esteem.

Consideration of the cost and characteristics of the equipment to determine the highest bid price. 3. Preparation of draft tender documents, which will define the terms and conditions of the tender, as well as technical specifications. 4. Public announcement of the tender and distribution of tender documents. 5. The Government of the Republic of Kazakhstan or an authorized person opens the tender at the Agent's office in the presence of representatives of the bidders and evaluates the tender and conducts the tender. 6. Preparation of a report on the tender in English, and sending the report to the Government of the Republic of Kazakhstan or an authorized body.

Appendix 1
In accordance with subparagraph (e) of paragraph 6 of the Draft Note of the Kazakh side, approved by Resolution of the Government of the Republic of Kazakhstan dated December 1, 2005 No. 1182, the Government of the Republic of Kazakhstan will take the necessary measures to pay the costs necessary for the implementation of the project, except those that will be covered by the grant. In this regard, additional expenses related to the supply of equipment (transportation costs for travel from the airport to the organization) will be covered by extra-budgetary funds from the Almaty Choreographic College named after A.V. Seleznev. The preliminary cost of these expenses will amount to 200.0 thousand tenge.
