gratuitous use of residential premises

the city of Almaty                                                   July 29, 2021 ............ Aliya Khodjiakhmetovna (hereinafter referred to as the Landlord), acting as an individual, on the one hand, and a Private Foundation named after "N.. ............., narodny akyna of Kazakhstan" (hereinafter referred to as the Lessee) represented by the Director .............. Aliya Khodjiakhmetovna acting on the basis of the Charter, on the other hand, collectively referred to as the Parties, and separately as the Parties, have concluded this Agreement for the Gratuitous Use of residential Premises (hereinafter referred to as the Agreement) as follows:

Subject of the agreement

1.1 The Lessor undertakes to transfer the following property to the Lessee for temporary gratuitous use: residential premises located at the address: RK, Almaty, Auezovsky district, MD. ..........., house 9 (hereinafter referred to as the Object of gratuitous possession and use). 1.2. Purpose and (or) purpose of using the Object of gratuitous use – office space until December 31, 2021 1.3. By signing the Agreement, the Lessor confirms that the Object of gratuitous use belongs to her by right of ownership on the basis of the agreement and title documents.

2. Deadlines for fulfilling obligations

2.1. The property specified in clause 1 of this Agreement must be transferred to the Lessee upon signing this agreement. 2.2. The start date of gratuitous possession and use begins when the Lessor transfers the Object of gratuitous Use to the Lessee, namely from July 29, 2021., "End date of gratuitous use" is the date when the Lessee returns the Object of gratuitous Use to the Lessor, due to the expiration of the lease term, namely December 31, 2021. Term of gratuitous possession and use - which begins on the Date of commencement of gratuitous use and expires on the Date of termination of gratuitous possession and use.

 

3.3. If neither party notifies the other in writing of its termination 15 (fifteen) days before the expiration of the agreement, the agreement is automatically extended for another calendar year and is valid on the same terms.

Obligations of the parties

3.1. The Lessor is obliged to: 3.1.1. Promptly transfer the property to the Lessee in a condition that meets the terms of the Agreement. 3.1.2. Provide advisory and other assistance for the most efficient use of property. 3.2. The Lessee is obliged to: 3.2.1. Use the property in accordance with the terms of the Agreement and the purpose of the property. 3.2.2. To maintain the property in good condition, to carry out maintenance at their own expense. 3.2.3. To bear the costs of maintaining the property. 5.2.4. Other payments (water supply, energy supply, sanitation, communication services, Internet, garbage collection, heat supply, etc.) are carried out and paid for by the Lessee. 3.2.5. Return the property to the Lessee after termination of the Contract according to the acceptance certificate in condition at the time of conclusion of the Contract, taking into account normal wear and tear. 3.2.6. In case of damage to the property, the Lessee undertakes to compensate for the losses in accordance with the legislation of the Republic of Kazakhstan.

Responsibility of the parties

4.1. This agreement is subject to early termination unilaterally by either Party if the other Party has committed gross or repeated violations of its terms. 4.1. If the premises fall into disrepair as a result of the Tenant's actions or failure to take necessary or timely measures, the Tenant restores it on his own, at his own expense, or compensates for the damage caused by the Landlord, in accordance with the procedure established by law. 4.2. Payment of fines, penalties, penalties and compensation for losses caused by non-fulfillment or improper fulfillment of contractual obligations does not release the Parties from fulfilling the terms of this agreement.

Force majeure

5.1. Neither party shall be liable to the other party for the fulfillment of obligations under this Agreement caused by circumstances beyond the will and desire of the parties that cannot be foreseen or avoided, including declared or actual war, civil unrest, epidemics, blockades, embargoes, earthquakes, floods and other natural disasters. 5.2. A party that does not fulfill its obligations must notify the other party of the obstacle and its impact on the fulfillment of obligations under the Agreement.

Dispute resolution procedure

6.1. All disputes or other disagreements arising between the parties under or in connection with this Agreement shall be resolved through negotiations between the parties. 6.2. If it is impossible to resolve disagreements through negotiations, they are subject to consideration in court in accordance with the procedure established by law.

The procedure for changing and supplementing the Agreement

7.1. Any amendments and additions to this Agreement are valid only if they are made in writing and signed by both parties. 7.2. Early termination of the Agreement may take place by agreement of the parties or on the grounds provided for by the civil legislation in force in the Republic of Kazakhstan, with compensation for losses incurred.

Other conditions

8.1. This Agreement is drawn up in two copies having the same legal force, one copy for each of the parties.
