Article 100. Termination of membership in a production cooperative of the Civil Code of the Republic of Kazakhstan
1. A member of a production cooperative has the right to withdraw from the cooperative at his discretion. In this case, he must be paid or given his share, as well as other payments provided for by the charter.
The share and other property are issued to the outgoing member of the cooperative at the end of the reporting period and the approval of the financial statements of the cooperative.
2. A member of a production cooperative may be excluded from the cooperative by a decision of the general meeting in case of non-fulfillment or improper fulfillment of the duties assigned to him by the cooperative's charter, as well as in other cases provided for by legislative acts and constituent documents.
Exclusion from membership in a production cooperative may be appealed to a court.
A member of a production cooperative may be excluded from it by decision of the general meeting in connection with membership in a similar cooperative.
A member of a production cooperative who is excluded from it has the right to receive a share and other payments provided for in the cooperative's charter in accordance with paragraph 1 of this article.
3. A member of a production cooperative has the right to transfer his share or part of it to another member of the cooperative, unless otherwise provided for by this Code, other legislative acts and constituent documents.
The transfer of a share (part of it) to a citizen who is not a member of a production cooperative is allowed only with the consent of the cooperative, unless otherwise provided by legislative acts. In this case, other members of the cooperative shall enjoy the pre-emptive right to purchase such a share (part of it), with the exception of the cases provided for by this Code.
4. In the event of the death of a member of a production cooperative, his heirs may be accepted as members of the cooperative, unless otherwise provided by the cooperative's charter. If the heir of a deceased cooperative member refuses to join the cooperative or the cooperative refuses to accept the heir, he is paid a share in the property proportional to the share of the deceased cooperative member, as well as a portion of the net income of the cooperative due to the deceased and remuneration for personal labor participation in the activities of the cooperative.
5. Foreclosure on a share of a member of a production cooperative for his personal debts is allowed only if his other property is insufficient to cover such debts in accordance with the procedure provided for by legislative acts and constituent documents of the cooperative.
