Article 21. Liability for obligations related to the establishment of a limited Liability Company Law on Limited and Additional Liability Companies

     The founders of a limited liability partnership are jointly and severally liable for obligations related to the establishment of the partnership that arose before its state registration, if it is proved that the founders acted in the interests of the partnership. The partnership is liable for such obligations in the event of subsequent approval of the actions of these persons by the general meeting of the partnership's participants.
