Article 67. State registration of a partnership arising as a result of reorganization Law on Limited and Additional Liability Partnerships
1. The state registration of a limited liability partnership arising as a result of reorganization is carried out in accordance with the legislation of the Republic of Kazakhstan on state registration of legal entities and registration of branches and representative offices.

3. The state registration of a limited liability partnership arising as a result of reorganization shall be carried out by the body carrying out state registration of legal entities upon the expiration of the period provided to creditors for filing claims against the partnerships participating in the reorganization (paragraph 4 of Article 62, paragraph 7 of Article 63 of this Law). If the body carrying out the state registration of legal entities has received copies of the claims of creditors participating in the reorganization of partnerships, the newly formed partnership is registered on condition that evidence is provided of the fulfillment of these claims or that the creditors who submitted them have no objections to the reorganization.
4. If, within one year from the date when the general meeting of participants of the last limited liability company participating in the reorganization decided to reorganize, the application for state registration is not filed or the necessary evidence is not provided (paragraph 3 of this Article), the reorganization is considered to have failed.
