Article 16-1. The specifics of the establishment and operation of a limited liability partnership, the register of which is maintained by the Central Securities Depository Law on Limited and Additional Liability Partnerships
1. A limited liability partnership has the right to conclude an agreement on maintaining the register of participants in the partnership with the central securities depository, which operates the system of registers of securities holders.
The foundation agreement is terminated from the date of formation of the register of participants of the partnership. The document confirming the right to a share in the authorized capital of a limited liability partnership, the register of participants of which is maintained by the central depository, is an extract from the register of participants of the partnership.
In case of transformation of a joint-stock company into a limited liability partnership, the register of participants of which will be maintained by the central securities depository, the founding agreement is not concluded.
2. The Charter of a limited liability partnership transformed from a joint-stock company is signed by a person authorized by the general meeting of shareholders, who made the decision on the transformation.
The decision on making amendments and additions to the charter of a limited liability company transformed from a joint-stock company is adopted by the general meeting of the partnership's participants in accordance with the procedure established by Article 48 of this Law.
3. The procedure for the formation, maintenance and storage of the register of participants in a limited liability partnership is established by the legislation of the Republic of Kazakhstan.
