Article 16. The specifics of the establishment of a limited liability company with a single participant The Law on Limited and Additional Liability Companies
1. The establishment of a limited liability partnership with a single participant is carried out on the basis of a decision taken by it alone.
The foundation agreement is not drawn up in this case.
2. The charter of a limited liability partnership with a single participant is approved by the person who formed this partnership.
3. The state registration of a partnership with a single participant is carried out in accordance with the general procedure established for the registration of limited liability partnerships.
4. If a limited liability partnership with a single participant is replenished by new participants as a result of a division of the contribution or an increase in the authorized capital, they are obliged to sign the founding agreement in accordance with the rules provided for in Article 15 of this Law.
