Article 71. Liquidation of the General Partnership of the Civil Code of the Republic of Kazakhstan
1. In addition to the grounds specified in Article 49 of this Code, a general partnership shall also be liquidated if the sole participant remains in the partnership, unless he/she reorganizes the partnership or accepts new participants within six months.
2. In cases of withdrawal or death of any of the participants in a full partnership, recognition of one of them as missing, incapacitated or with limited legal capacity, or bankruptcy, or foreclosure by a creditor of one of the participants on property corresponding to his share in the authorized capital, the partnership may continue its activities if this is provided for by the constituent documents of the partnership or the agreement of the remaining participants.
3. If one of the participants has withdrawn from the partnership on the grounds specified in paragraph 2 of this article, the shares of the remaining participants in the authorized capital of the partnership shall increase in proportion to their contributions, unless otherwise provided by the constituent documents.
