The Debtor’s Insolvency Recognized by a Court Decision as Grounds for Its Liquidation
📘 Article 52 of the Civil Code of the Republic of Kazakhstan: BANKRUPTCY
🔹 1. GENERAL CHARACTERISTICS
Bankruptcy, within the meaning of Article 52 of the Civil Code of the Republic of Kazakhstan, is the debtor’s insolvency established by a court, that is, the inability to fulfil monetary obligations to creditors in full, which serves as grounds for the liquidation of a legal entity or, in certain cases, the declaration of an individual as bankrupt.
This is the only form of liquidation in which special rules apply to the priority of satisfaction of claims and the transfer of assets (see the Law of the Republic of Kazakhstan “On Rehabilitation and Bankruptcy”).
🔹 2. ESSENCE AND LEGAL NATURE
📌 Bankruptcy is a legal institution governing the compulsory termination of the activities of a legal entity or the restructuring or liquidation of an individual’s indebtedness pursuant to a court decision.
Key characteristics:
· The debtor is unable to satisfy creditors’ claims within the prescribed period;
· The state of insolvency is confirmed by a conclusion;
· The court issues a decision declaring the debtor bankrupt;
· Following this, bankruptcy proceedings commence.
📘 Unlike ordinary liquidation (under Articles 50–51 of the Civil Code of the Republic of Kazakhstan), bankruptcy involves special procedures, including:
· bankruptcy administration proceedings;
· appointment of a bankruptcy administrator;
· realization of assets;
· a specific priority order for payments (see Articles 50–55 of the Bankruptcy Law).
🔹 3. KEY ELEMENTS OF ARTICLE 52
✅ 1) “Recognized by a court decision”
📘 Meaning: Bankruptcy arises exclusively pursuant to a court decision, regardless of the debtor’s wishes.
🧷 An application may be filed by:
· The debtor itself (voluntary bankruptcy);
· A creditor (compulsory bankruptcy);
· An authorized body (in certain cases).
The grounds for filing an application include the existence of signs of persistent insolvency:
· failure to fulfil obligations for more than three months;
· indebtedness exceeding the established threshold (for example, 1,600 monthly calculation indices (MCI) for individual entrepreneurs or limited liability partnerships).
✅ 2) “A conclusion on financial stability is taken into account”
📌 The conclusion is prepared within the framework of:
· The Law of the Republic of Kazakhstan “On Rehabilitation and Bankruptcy” (which entered into force on 3 March 2023);
· It confirms or refutes the existence of insolvency that cannot be remedied;
· It is prepared by an independent auditor, crisis management administrator, or rehabilitation administrator.
📘 The conclusion constitutes mandatory evidence in court proceedings. Its absence constitutes grounds for refusing to declare the debtor bankrupt.
🔹 4. RELATED LEGISLATIVE ACTS
| Law/Code | Article | Subject Matter |
|---|---|---|
| Civil Code of the Republic of Kazakhstan | Articles 49–51 | Liquidation, priority of claims, liquidation commission |
| Law of the Republic of Kazakhstan “On Rehabilitation and Bankruptcy” | Articles 1, 19, 49–67 | Grounds, procedures, application procedure, priority of claims |
| Civil Procedure Code of the Republic of Kazakhstan | Articles 148–150 | Claim proceedings in insolvency cases |
| Code of the Republic of Kazakhstan on Administrative Offences | Article 244 | Liability for fictitious bankruptcy |
🔹 5. JUDICIAL PRACTICE
📍 Example 1:
Civil Case No. 2-8310/2023, Almaty
The debtor, LLP “Zeta,” was declared bankrupt following an application filed by a creditor — a bank — on the basis of:
· confirmed indebtedness amounting to KZT 24 million;
· a conclusion issued by an independent auditor;
· the absence of assets capable of covering the debts.
The court appointed a bankruptcy administrator and commenced the proceedings.
📍 Example 2:
An individual filed an application for personal bankruptcy.
The court refused the application because:
· no conclusion confirming financial insolvency had been submitted;
· the indebtedness did not exceed the established threshold of 1,600 MCI;
· there was no decision refusing rehabilitation.
🔹 6. INTERNATIONAL STANDARDS
· UNCITRAL Legislative Guide on Insolvency Law — a United Nations guidance document addressing insolvency procedures and the principles of fair treatment of creditors.
· OECD Guidelines for Insolvency Frameworks — emphasize the importance of preliminary financial assessment and judicial oversight.
🔹 7. PRACTICAL RECOMMENDATIONS
For debtors:
· If repayment of debts is impossible, initiate bankruptcy proceedings independently to avoid potential liability;
· Collect documents confirming insolvency, including the relevant conclusion;
· Examine the possibility of rehabilitation (debt restructuring) before filing an application.
For creditors:
· In the event of prolonged payment default, file an application for bankruptcy;
· Check whether other procedures are in place, including asset seizure and enforcement proceedings;
· Participate in the proceedings through inclusion in the register of creditors’ claims.
📎 CONCLUSION
Article 52 of the Civil Code of the Republic of Kazakhstan establishes the fundamental legal definition of bankruptcy as a form of liquidation of an insolvent entity on the basis of a judicial act. This provision is closely connected with the sector-specific legislation governing the procedural and property-related aspects of declaring a debtor bankrupt and the consequences of bankruptcy.
This legal institution serves both as a mechanism for protecting creditors and as a second chance for the debtor when implemented through rehabilitation proceedings.
